Terms of Service

Effective Date: March 12, 2026

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Asli One Global Private Limited, a company incorporated under the laws of India, with its registered office at 309/3, Yasmin Nagar, Vedhanarayanapuram, Chengalpattu 603111, Tamil Nadu, India ("Asli One," "we," "us," or "our"), operating through its Dubai office, Sama Alnukhba Information Technology LLC, located at M58, Aswar Building, Business Bay, Dubai, UAE.

By accessing or using the Asli One ERP platform ("Service") available at asli.one, including all associated websites, applications, APIs, and mobile applications (collectively, the "Platform"), you agree to be bound by these Terms. If you do not agree, you must not use the Service.

We reserve the right to update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days in advance. Continued use of the Service after such notice constitutes acceptance of the revised Terms.

2. Definitions

  • "Service" means the Asli One ERP cloud-based software-as-a-service platform, including all modules, features, APIs, and mobile applications.
  • "Tenant" means a distinct organizational account provisioned on the Platform, accessible via a unique subdomain (e.g., companyname.asli.one).
  • "User" means any individual authorized by the Customer to access the Service under the Customer's Tenant.
  • "Customer Data" means all data, content, and information uploaded, entered, or generated by the Customer or its Users through the Service.
  • "Subscription" means the recurring payment plan selected by the Customer for access to the Service.
  • "One-Time License" means a perpetual license purchased for a fixed fee, subject to annual maintenance charges (AMC).

3. Account Registration and Security

3.1 Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of the entity you represent. By registering, you represent and warrant that all information provided is accurate and complete.

3.2 Account Credentials

You are responsible for maintaining the confidentiality of your account credentials, including passwords and two-factor authentication (2FA) tokens. You must immediately notify us at support@asli.one of any unauthorized use of your account.

3.3 Account Administration

The Customer's designated administrator is responsible for managing User access, permissions, roles, and ensuring that all Users comply with these Terms. Asli One is not liable for actions taken by authorized Users within the Customer's Tenant.

4. Service Description

Asli One ERP is a cloud-based, multi-tenant enterprise resource planning platform offering integrated modules including, but not limited to: Finance and Accounting, Inventory and Warehouse Management, Human Resources and Payroll, Point of Sale, Customer Relationship Management, Manufacturing, Project Management, E-Commerce, Fleet Management, Service Management, Pharma, Healthcare, and Legal Compliance.

The Service is provided on a software-as-a-service (SaaS) basis. Asli One maintains the infrastructure, performs updates, and ensures availability subject to the terms described herein.

5. Free Trial

Asli One offers a 14-day free trial of the Service. No credit card or payment information is required to start a trial. During the trial period, you have access to the full functionality of your selected plan. At the end of the trial, your account will be suspended unless you subscribe to a paid plan. Trial data will be retained for 30 days after trial expiration, after which it may be permanently deleted.

6. Subscription and Billing

6.1 Plans and Pricing

The Service is available under multiple subscription plans (Starter, Professional, Enterprise) and as a one-time perpetual license. Current pricing is published on our website. Prices are stated in US Dollars unless otherwise specified.

6.2 Billing Cycle

Subscription fees are billed annually in advance. One-time license fees are billed at the time of purchase, with annual maintenance charges (AMC) billed annually thereafter. All fees are non-refundable except as stated in our Refund Policy.

6.3 Payment Methods

We accept payments via credit card, debit card, bank transfer, and supported payment gateways including Stripe, Razorpay, and Network International. You authorize us to charge your designated payment method for all applicable fees.

6.4 Taxes

All fees are exclusive of applicable taxes (including VAT, GST, and other sales or withholding taxes) unless explicitly stated otherwise. You are responsible for all taxes associated with your use of the Service, except for taxes based on Asli One's net income.

6.5 Late Payments

Overdue payments may incur a late fee of 1.5% per month (or the maximum rate permitted by law, whichever is lower). Asli One reserves the right to suspend access to the Service for accounts with payments overdue by more than 15 days.

6.6 Price Changes

Asli One may adjust pricing with at least 60 days' prior written notice. Price changes take effect at the start of the next billing cycle. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.

7. Customer Data and Ownership

7.1 Data Ownership

You retain all rights, title, and interest in and to your Customer Data. Asli One does not claim ownership of any data you upload, enter, or generate through the Service.

7.2 License to Asli One

You grant Asli One a limited, non-exclusive license to access, process, store, and display your Customer Data solely for the purpose of providing, maintaining, and improving the Service, and as otherwise described in our Privacy Policy.

7.3 Data Export

You may export your Customer Data at any time during your active subscription through the built-in export tools provided in the Service. Upon termination, Asli One will make your data available for export for 30 days. After this period, data may be permanently deleted.

7.4 Data Isolation

Each Tenant's data is logically isolated using schema-per-tenant, dedicated database, or dedicated instance architecture depending on the selected plan. We implement strict access controls to prevent cross-tenant data access.

8. Intellectual Property

8.1 Asli One IP

The Service, including all software, code, algorithms, interfaces, designs, documentation, trademarks, logos, and any derivative works thereof, is the exclusive property of Asli One Global Private Limited and is protected by intellectual property laws of India, the UAE, and international treaties.

8.2 License Grant

Subject to these Terms and payment of applicable fees, Asli One grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.

8.3 Restrictions

You shall not:

  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service;
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service;
  • Remove, obscure, or alter any proprietary notices or labels on the Service;
  • Use the Service to develop a competing product or service;
  • Use the Service in any manner that violates applicable laws or regulations;
  • Use automated tools to scrape, crawl, or extract data from the Service beyond authorized API usage;
  • Interfere with or disrupt the integrity or performance of the Service.

8.4 Feedback

If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant Asli One an irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.

9. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation;
  • Upload or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
  • Transmit viruses, malware, or any other harmful code;
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks;
  • Use the Service for any purpose other than legitimate business operations;
  • Exceed the usage limits of your subscription plan through automated or programmatic means.

10. Service Availability and Support

10.1 Uptime

Asli One targets 99.9% uptime for the Service, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 24 hours in advance when possible.

10.2 Support

Support is available based on your subscription plan:

  • Starter: Email and chat support during business hours (Sunday-Thursday, 9 AM - 6 PM GST).
  • Professional: Priority support with faster response times and extended hours.
  • Enterprise: Dedicated account manager, 24/7 support, and custom SLA agreements.

10.3 Updates and Modifications

Asli One may update, modify, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that adversely affect your use of the Service.

11. Third-Party Services

The Service integrates with third-party services including, but not limited to, payment gateways (Stripe, Razorpay, Network International), communication services (SendGrid, Twilio), and compliance platforms (ZATCA, HMRC, Tatmeen). Your use of these third-party services is subject to their respective terms of service and privacy policies. Asli One is not responsible for the performance, availability, or practices of third-party service providers.

12. Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASLI ONE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

12.3 Cap on Liability

Asli One's total aggregate liability under these Terms shall not exceed the total fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

12.4 Exceptions

Nothing in these Terms shall exclude or limit liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Asli One and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your Customer Data.

14. Termination

14.1 Termination by You

You may terminate your subscription at any time by providing written notice to support@asli.one or through the account settings in the Platform. Upon termination, you will retain access until the end of your current billing period. Refunds are governed by our Refund Policy.

14.2 Termination by Asli One

Asli One may suspend or terminate your access to the Service immediately if: (a) you breach any material provision of these Terms; (b) your account is overdue for payment by more than 30 days; (c) you engage in fraudulent or illegal activity; or (d) your continued use poses a security risk to the Service or other customers.

14.3 Effect of Termination

Upon termination: (a) all licenses granted under these Terms immediately cease; (b) you must cease all use of the Service; (c) you may request export of your Customer Data within 30 days; (d) after the 30-day export window, Asli One may permanently delete all Customer Data associated with your Tenant.

14.4 Survival

The following sections survive termination: Definitions, Customer Data and Ownership, Intellectual Property, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and any other provisions that by their nature should survive.

15. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms ("Confidential Information"). Neither party shall use or disclose the other party's Confidential Information except as necessary to perform its obligations under these Terms or as required by law. This obligation survives termination for a period of three (3) years.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with:

  • For customers located in India: the laws of India, with courts in Chennai, Tamil Nadu having exclusive jurisdiction.
  • For customers located in the UAE and GCC countries: the laws of the United Arab Emirates, with courts in Dubai having exclusive jurisdiction.
  • For customers located elsewhere: the laws of India, with courts in Chennai, Tamil Nadu having exclusive jurisdiction.

16.2 Dispute Resolution

Before initiating any formal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved through negotiation, either party may submit the dispute to binding arbitration under the rules of the Indian Council of Arbitration (for India-governed disputes) or the Dubai International Arbitration Centre (for UAE-governed disputes).

16.3 Class Action Waiver

To the maximum extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms caused by events beyond its reasonable control, including but not limited to natural disasters, wars, terrorism, pandemics, government actions, power failures, internet outages, or other force majeure events.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Asli One regarding the Service, superseding all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.3 Waiver

The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms without Asli One's prior written consent. Asli One may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

18.5 Notices

Notices under these Terms shall be sent to support@asli.one for Asli One, and to the email address associated with your account for you.
